1. Agreement to Terms

By accessing our website, vitalisivtherapy.com (the "Site"), creating a client account, or using our services, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not use our services. These Terms apply to all visitors, users, and others who access or use the Site.

2. Description of Services

Vitalis IV LLC ("Vitalis IV," "we," "us," or "our") provides elective intravenous (IV) hydration and wellness services administered by licensed medical professionals. Our services are delivered to locations of your choosing within our service area, which currently includes the Scottsdale and Phoenix metropolitan areas of Arizona.

Our services include, but are not limited to, IV hydration therapy, NAD+ therapy, vitamin infusions, and other wellness treatments as listed on our service menu. All services are subject to availability and medical clearance approval.

3. Medical Disclaimers

You understand and agree to the following medical disclaimers:

• All services are provided by or under the supervision of licensed medical professionals.
• Our services are for wellness and elective purposes only and are not intended to diagnose, treat, cure, or prevent any disease or medical condition.
• Our services have not been evaluated by the U.S. Food and Drug Administration (FDA).
• Our services are not a substitute for professional medical advice, diagnosis, or treatment from your primary care physician.
• You should always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition.
• You agree to disclose all relevant health information accurately and completely during the medical clearance process.
• You acknowledge that IV therapy carries inherent risks, including but not limited to bruising, infection, and allergic reactions, and you accept these risks by proceeding with our services.

4. Client Account and Eligibility

To book our services, you must create a client account. You must be at least 18 years of age to create an account and use our services. You agree to:

• Provide accurate, current, and complete information during registration and to keep it updated.
• Maintain the security of your password and account credentials.
• Accept responsibility for all activities that occur under your account.
• Notify us immediately of any unauthorized use of your account.

5. Medical Clearance Requirement

All clients must receive and maintain valid medical clearance from our third-party medical partner, Guardian MD, before receiving any services. By requesting clearance, you agree to provide truthful and accurate health information. Medical clearance is valid for one year from the date of approval. Vitalis IV reserves the right to refuse service to anyone at any time for any reason, including but not limited to failure to obtain or maintain medical clearance.

The medical clearance consultation with Guardian MD requires a separate fee of $39, which is paid directly to Guardian MD and is non-refundable regardless of the clearance outcome.

6. Consent to Communications (Email & SMS)

By creating an account, you consent to receive transactional email communications from Vitalis IV LLC related to your account and services. These may include:

• Account and profile information.
• Notifications regarding your medical clearance status.
• Appointment confirmations, reminders, and updates.
• Administrative information, including updates to our terms and policies.

SMS/Text Message Communications: SMS text messages are sent only to clients who have explicitly opted in by checking the optional SMS consent checkbox during the client portal profile setup. Creating an account does not automatically enroll you in SMS communications. You may use all portal features and book services without opting in to SMS. If you have opted in to SMS, you may opt out at any time by replying STOP to any message. Reply HELP for assistance. Message frequency: approximately 1–3 messages per month. Message and data rates may apply.

SMS opt-in data and consent will not be shared with any third parties. The above excludes text messaging originator opt-in data and consent; this information will not be shared with any third parties.

7. Payment and Fees

You agree to pay all fees for services you book. All payments are due at the time of service unless otherwise agreed in writing. We accept payment via methods specified at the time of booking. All fees are listed in U.S. dollars. Prices are subject to change without notice, but changes will not affect bookings already confirmed.

8. Cancellation and Rescheduling Policy

We require at least 24 hours' notice for any cancellation or rescheduling of a confirmed appointment. Cancellations made with less than 24 hours' notice may be subject to a cancellation fee of up to 50% of the scheduled service cost. No-shows without prior notice may be charged the full service fee. We reserve the right to cancel or reschedule appointments due to circumstances beyond our control, including but not limited to provider illness or weather emergencies, and will provide as much advance notice as possible in such cases.

9. Intellectual Property

The Site and its original content, features, and functionality are and will remain the exclusive property of Vitalis IV LLC and its licensors. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Vitalis IV LLC.

10. Disclaimer of Warranties

The services are provided on an "as is" and "as available" basis. Vitalis IV LLC makes no warranties, expressed or implied, regarding the services, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the services will be uninterrupted, timely, secure, or error-free.

11. Limitation of Liability

To the fullest extent permitted by applicable law, in no event will Vitalis IV LLC, its affiliates, officers, directors, employees, agents, suppliers, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of, or inability to access or use, the services.
• Any conduct or content of any third party on the services.
• Any content obtained from the services.
• Unauthorized access, use, or alteration of your transmissions or content.

Our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the amount you paid to Vitalis IV LLC in the 12 months preceding the claim.

12. Indemnification

You agree to defend, indemnify, and hold harmless Vitalis IV LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the services.

13. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Arizona, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in Maricopa County, Arizona, in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. The invalid or unenforceable provision will be deemed modified to the minimum extent necessary to make it valid and enforceable.

15. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of our services after any changes constitutes your acceptance of the new Terms.
